Adobe and Texas Instruments Bring Flash and AIR to OMAP™ Platform

Collaboration to bring uncompromised web browsing and rich Internet applications to OMAP processor-based devices; Texas Instruments participates in Open Screen Project

At the CTIA Wireless conference, Adobe Systems Incorporated (Nasdaq:ADBE) and Texas Instruments Incorporated (TI) (NYSE: TXN) today announced a technology collaboration to optimize Adobe® Flash® Player and Adobe AIR®, two key components of the Adobe Flash Platform, for the TI OMAP™ mobile applications platform. TI’s collaboration with Adobe will allow manufacturers and developers to fully leverage the benefits of the OMAP platform to reduce time to market while increasing performance and reducing power on devices. A pre-release of the optimized Adobe Flash Player 10 for devices is expected to be available to manufacturers this summer with an official production release expected in Q1 2010. OMAP solutions supporting the pre-release of Adobe Flash Player are expected to be available for manufacturers and developers in the second half of 2009.

This engagement furthers TI’s long standing commitment to supporting Flash technology and will make it easier for manufacturers to enable uncompromised web browsing on their devices. It also lets them quickly update and run Flash technology based third-party content and applications while reducing time to market on smartphones, mobile Internet devices (MIDs) and other mobile computing devices. TI will also provide Adobe Flash technology support on the Zoom™ OMAP34x-II Mobile Development Platform (MDP), with future support for additional planned OMAP processor-based reference platforms, allowing developers to create rich, Flash technology based content that enhances the overall user experience for a variety of markets. By optimizing Flash technology for the OMAP solution, manufacturers and developers can fully exploit offerings of the platform when accessing content developed with Flash technology. For example, leveraging the OMAP platform’s hardware acceleration capabilities allows for improved video and graphics performance at lower power.

Multimedia Authoring and Game Development Platform Supports New Audio, Video and 3D Capabilities

At the Game Developer Conference, Adobe Systems Incorporated (Nasdaq:ADBE) today announced a new version of Adobe® Director® software offering game developers, multimedia authors, and e-learning professionals a host of new features for creating immersive gaming and multimedia applications. With support for a new audio engine, high-definition (HD) video and advanced 3-D features, Adobe Director 11.5 provides a rich and flexible platform to create applications for both online and desktop worlds.

The new features in Director 11.5 include a new audio engine that allows developers to deliver 5.1 channel surround sound and create audio effects using real-time mixing capabilities. With support for the H.264 format and RTMP-based streaming, users are able to deliver HD video content. Developers can also create and import 3-D assets through Google SketchUp and SketchUp 3-D Importer. In addition, advanced physics capabilities based on the NVIDIA® PhysX™ engine help users create games and simulations that model real-world gravity and other life-like effects.

Adobe Reports First Quarter Financial Results

Adobe Systems Incorporated (Nasdaq:ADBE) today reported financial results for its first quarter ended Feb. 27, 2009.

In the first quarter of fiscal 2009, Adobe achieved revenue of $786.4 million, compared to $890.4 million reported for the first quarter of fiscal 2008 and $915.3 million reported in the fourth quarter of fiscal 2008.

“In this tough economic environment, we are pleased we were able to manage expenses to deliver solid Q1 earnings and margin results,” said Shantanu Narayen, president and CEO. “We believe the major market trends driving our business remain intact, and we will continue to focus on innovation and investing in new growth businesses to increase the strategic value we provide our customers.”

First Quarter Fiscal 2009 GAAP Results
Adobe’s GAAP diluted earnings per share for the first quarter of fiscal 2009 were $0.30, based on 527.8 million weighted average shares. This compares with GAAP diluted earnings per share of $0.38 reported in the first quarter of fiscal 2008 based on 571.3 million weighted average shares, and GAAP diluted earnings per share of $0.46 reported in the fourth quarter of fiscal 2008 based on 534.9 million weighted average shares.

GAAP operating income was $207.9 million in the first quarter of fiscal 2009, compared to $275.4 million in the first quarter of fiscal 2008 and $273.2 million in the fourth quarter of fiscal 2008. As a percent of revenue, GAAP operating income in the first quarter of fiscal 2009 was 26.4 percent, compared to 30.9 percent in the first quarter of fiscal 2008 and 29.8 percent in the fourth quarter of fiscal 2008.

GAAP net income was $156.4 million for the first quarter of fiscal 2009, compared to $219.4 million reported in the first quarter of fiscal 2008 and $245.9 million in the fourth quarter of fiscal 2008.

First Quarter Fiscal 2009 Non-GAAP Results
Non-GAAP diluted earnings per share for the first quarter of fiscal 2009 were $0.45. This compares with non-GAAP diluted earnings per share of $0.48 reported in the first quarter of fiscal 2008 and non-GAAP diluted earnings per share of $0.60 reported in the fourth quarter of fiscal 2008.

Adobe’s non-GAAP operating income was $295.0 million in the first quarter of fiscal 2009, compared to $359.0 million in the first quarter of fiscal 2008 and $374.9 million in the fourth quarter of fiscal 2008. As a percent of revenue, non-GAAP operating income in the first quarter of fiscal 2009 was 37.5 percent, compared to 40.3 percent in the first quarter of fiscal 2008 and 41.0 percent in the fourth quarter of fiscal 2008.

Non-GAAP net income was $236.8 million for the first quarter of fiscal 2009, compared to $273.0 million in the first quarter of fiscal 2008 and $320.9 million in the fourth quarter of fiscal 2008.

Second Quarter Fiscal 2009 Financial Targets
For the second quarter of fiscal 2009, Adobe is targeting Q2 revenue of $675 million to $725 million, an operating margin of 21 percent to 26 percent on a GAAP basis, and an operating margin of 32 percent to 36 percent on a non-GAAP basis.

In addition, Adobe is targeting its share count to be between 528 million and 530 million. The Company also is targeting non-operating income to be between $1 million and $2 million. Adobe’s GAAP and non-GAAP tax rates are expected to be approximately 24 percent.

These targets lead to a second quarter diluted earnings per share target range of $0.20 to $0.27 on a GAAP basis, and an earnings per share target range of $0.31 to $0.38 on a non-GAAP basis.

Adobe Reports Record Quarterly and Annual Revenue

SAN JOSE, Calif. — Dec. 16, 2008 — Adobe Systems Incorporated (Nasdaq:ADBE) today reported financial results for its fourth quarter and fiscal year ended Nov. 28, 2008.

In the fourth quarter of fiscal 2008, Adobe achieved record revenue of $915.3 million, compared to $911.2 million reported for the fourth quarter of fiscal 2007 and $887.3 million reported in the third quarter of fiscal 2008. The Company’s reported fourth quarter revenue was slightly above the preliminary revenue range of $912 million to $915 million it provided on Dec. 3, 2008.

“Despite a difficult economic environment in 2008, we were able to achieve record revenue and double digit growth for the sixth consecutive year,” said Shantanu Narayen, president and CEO. “In addition, our consistent execution and disciplined expense management enabled us to significantly exceed our profit targets. Although we expect 2009 will be a challenging year, we remain excited about the long term market trends driving our business, and are confident we will emerge from the current recession stronger than ever.”
Adobe Reports Record Annual Revenue in Fiscal Year 2008

In fiscal year 2008, Adobe achieved record revenue of $3.580 billion, compared to $3.158 billion in fiscal 2007. On a year-over-year basis, annual revenue grew 13 percent and was in line with the growth target the Company provided at the outset of the year.

Adobe’s annual GAAP net income was $871.8 million in fiscal 2008, compared to $723.8 million in fiscal 2007. Adobe’s annual non-GAAP net income was $1.136 billion in fiscal 2008, compared to $965.8 million in fiscal 2007.

GAAP diluted earnings per share for fiscal 2008 were $1.59, compared to $1.21 in fiscal 2007. Non-GAAP diluted earnings per share for fiscal 2008 were $2.07, compared to $1.61 in fiscal 2007.
Fourth Quarter Fiscal 2008 GAAP Results

Adobe’s GAAP diluted earnings per share for the fourth quarter of fiscal 2008 were $0.46, based on 534.9 million weighted average shares. This compares with GAAP diluted earnings per share of $0.38 reported in the fourth quarter of fiscal 2007 based on 587.9 million weighted average shares, and GAAP diluted earnings per share of $0.35 reported in the third quarter of fiscal 2008 based on 541.3 million weighted average shares.

GAAP operating income was $273.2 million in the fourth quarter of fiscal 2008, compared to $275.8 million in the fourth quarter of fiscal 2007 and $219.5 million in the third quarter of fiscal 2008. As a percent of revenue, GAAP operating income in the fourth quarter of fiscal 2008 was 29.8 percent, compared to 30.3 percent in the fourth quarter of fiscal 2007 and 24.7 percent in the third quarter of fiscal 2008.

GAAP net income was $245.9 million for the fourth quarter of fiscal 2008, compared to $222.2 million reported in the fourth quarter of fiscal 2007 and $191.6 million in the third quarter of fiscal 2008.
Fourth Quarter Fiscal 2008 Non-GAAP Results

Non-GAAP diluted earnings per share for the fourth quarter of fiscal 2008 were $0.60. This compares with non-GAAP diluted earnings per share of $0.49 reported in the fourth quarter of fiscal 2007 and non-GAAP diluted earnings per share of $0.50 reported in the third quarter of fiscal 2008.

Adobe’s non-GAAP operating income was $374.9 million in the fourth quarter of fiscal 2008, compared to $362.2 million in the fourth quarter of fiscal 2007 and $351.9 million in the third quarter of fiscal 2008. As a percent of revenue, non-GAAP operating income in the fourth quarter of fiscal 2008 was 41.0 percent, compared to 39.7 percent in both the fourth quarter of fiscal 2007 and the third quarter of fiscal 2008.

Non-GAAP net income was $320.9 million for the fourth quarter of fiscal 2008, compared to $289.6 million in the fourth quarter of fiscal 2007 and $269.1 million in the third quarter of fiscal 2008.

First Quarter Fiscal 2009 Financial Targets

For the first quarter of fiscal 2009, Adobe reaffirmed the financial targets that it previously provided on Dec. 3, 2008. The Company is targeting Q1 revenue of $800 million to $850 million, an operating margin of 26 percent to 28 percent on a GAAP basis, and an operating margin of 37 percent to 38 percent on a non-GAAP basis.

In addition, Adobe is targeting its share count to be between 530 million and 534 million shares in the first quarter. The Company also is targeting non-operating income to be between $3 million and $5 million. Adobe’s GAAP and non-GAAP tax rates are expected to be approximately 24 percent.

These targets lead to a first quarter diluted earnings per share target range of $0.30 to $0.35 on a GAAP basis, and an earnings per share target range of $0.43 to $0.47 on a non-GAAP basis.

Strategic Partnership Enables Download Solution for Mac, Linux and Windows Users

SAN JOSE, Calif. — Dec. 19, 2008 — The BBC and Adobe Systems Incorporated (Nasdaq:ADBE) today announced the public beta of the new BBC iPlayer Desktop download manager built on Adobe® AIR™, a key component of the Adobe Flash® Platform.

The new BBC iPlayer Desktop beta will enable Windows®, Mac and Linux® users to download programs to their desktops. Previously, the ability to download programs was only available for Windows users. Now, the new download manager allows users to view their favorite BBC shows, online or offline, with a high-quality solution across operating systems.

The BBC iPlayer Desktop application on Adobe AIR will be available to BBC iPlayer Labs users, who can sign up at www.bbc.co.uk/iplayer/labs . The BBC iPlayer Desktop application on AIR will be rolled out to all BBC iPlayer users during 2009.

BARCELONA, Spain. — Feb. 16, 2009 — At the GSMA Mobile World Congress, Adobe Systems Incorporated (Nasdaq:ADBE) today announced the availability of the Adobe® Flash® Lite™ 3.1 Distributable Player, a new, over-the-air mobile runtime. The new player enables developers and content providers to create Flash technology-based applications that target the latest version of the runtime, and directly distribute their applications with the runtime installer to millions of open OS devices for a better on-device user experience. Available immediately as a public beta, the Distributable Player initially supports Nokia S60 and Windows® Mobile devices and builds on the momentum Adobe Flash technology has experienced in the mobile market.

The Adobe Flash Lite 3.1 Distributable Player provides new delivery and monetization options for Flash technology-based mobile applications. Using the new runtime, leading aggregators — including GetJar, Thumbplay and Zed — enable content creators to deliver their applications to mobile users via their Web catalogs. Content creators can also choose to distribute their applications via their own promotional vehicles or their existing distribution channels. Brands and content providers already using the Distributable Player include Accuweather, Dolce & Gabbana, Digital Chocolate, Disney, Finetune, Gazzetta dello Sport, Hachette Filipacchi, Il Sole 24 Ore, Il Corriere della Sera, Nespresso, and Uclick (see separate quote sheet).

“The Distributable Player enables a direct distribution of our mobile player similar to the distribution model for Flash Player on the desktop,” said David Wadhwani, general manager and vice president, Platform Business Unit at Adobe. “With this new runtime and Adobe’s popular authoring tools, Adobe Flash Platform developers can unleash their creativity, develop new, innovative games and other mobile applications, and reach a much broader audience across screens and different platforms.”

The Distributable Player is the first step toward delivering a runtime that can be updated over the air, a vision set by the Open Screen Project. Announced in May 2008, the Open Screen Project is designed to deliver a consistent runtime environment across televisions, desktops, mobile devices and other consumer electronics. Led by Adobe, the initiative has more than 20 major industry partners working to enable the delivery of Web content and standalone applications across devices taking advantage of Adobe Flash Platform capabilities.
Availability and Developer Contest

The Distributable Player supports over-the-air downloads for consumers in the United States, U.K., Spain, Italy and India. More countries will be added over time. Developers around the world can get started developing Adobe Flash Platform applications with the free public beta release at www.adobe.com/go/distribute/ . The runtime is part of a solution that includes authoring support through Adobe Creative Suite® 4 and the Adobe Mobile Packager, a desktop tool allowing developers to wrap a SWF file into a Windows Mobile or Nokia S60 installable file.

Software Development Kit Enables Reflowable PDF and Content Protection for Smartphones and Reading Devices

BARCELONA, Spain — Feb. 16, 2009 — At the GSMA Mobile World Congress, Adobe Systems Incorporated (Nasdaq:ADBE) today announced the availability of the new Adobe® Reader® Mobile SDK, a software development kit (SDK) designed to enable companies to deliver mobile phones and handheld devices that can easily download, manage, and display PDF content and eBooks. The new software engine delivers support for reflowable PDF technology, Adobe’s content protection technology, as well as the EPUB file format, an XML-based eBook standard with broad support from the publishing industry.

In support of the new Adobe Reader Mobile SDK, a number of companies announced plans to ship devices or applications in 2009 that integrate the new Adobe technology, including Bookeen, iRex Technologies, Lexcycle, Plastic Logic, Polymer Vision Ltd., and Spring Design. The Adobe Reader Mobile engine is already integrated into the groundbreaking Reader Digital Book™ by Sony.

Adobe Reader Mobile SDK delivers new support for reflowable PDF technology, where text is able to adapt automatically to the screen size enabling readers to consume digital content on a variety of devices while preserving layout integrity and enhancing the reading experience. The support for the new EPUB file format is expected to accelerate the availability of eBook content on mobile devices worldwide. Consumers can acquire content with Adobe Reader Mobile-enabled devices over the air (OTA) and via PCs and Macintosh systems through the latest version of Adobe Digital Editions, Adobe’s popular desktop application for reading and managing digital publications.
